seller and buyer shall be referred to collectively as \"Parties\"or individually as \"party\" as the case may be .All business hereunder shall be transacted between buyer and seller on a principal basis and both parties agree to the following terms and conditions.
卖方和买方将统称“缔约双方”,或可能情况下分开称为“缔约方”.下面的所有交易应在买方和买方之间在主要基础上（这里principal有没有打错,是不是principle,如是,那就是原则基础上）以及双方同意以下条款和条件情况下进行处理.
Article 1.Guarantee of Quality
第一款 质量担保
The seller guarantees that the commodity hereof is complied in all respect with the quality and specifications stipulated in the STANDARD SPECIFICATION for each product.
卖方担保,所涉及的商品所有方面都符合每种产品“标准规范”中规定的质量和技术条件.
Article 2.Claims
第二款 索赔
Any claims resulting from visual inspection of cargo in which it is determined the cargo has arrived in irregular cargo conditions or upon opening and/or discharging the container ,the internal container and cargo condition are irregular ,the buyer must notify the seller before the cargo is discharged from the container.任何因货物目测检验导致的索赔,即在目测检验中,确定货物以不规则的货物状态抵达,或在打开和/或卸载集装箱时,集装箱内部和货物状态不规则,买方必须在货物从集装箱卸货前通知卖方Pictures should be taken depicting the irregularity and the container number ,bill of lading number and product lot number should all the recorded.The buyer should cease discharging the container until the seller notifies them in writing that product discharge can continue .If the seller dose not follow this procedure ,the buyer may not honor a claim.应该拍摄照片来描绘不规则性,集装箱号、提单号码和产品批号都应记录下来.买方应该停止集装箱的卸货,直至卖方书面通知他们可以继续产品卸货为止.如果卖方没有遵循这一程序,买方可以不允准一次索赔.
Within 30 days after arrival of the goods at destination,should the specification or quality be found not in conformity with the stipulation of the contract except those claims for which the insurance company or the carriers are liable.在货物到达目的地后30天内,如果发现技术条件或质量不符合合同规定,除非这些索赔是保险公司或货运公司的责任,the buyer shall on the strength of the inspection certificate issued by korea commodity or for compensation.否则买方应凭借韩国商品（这里有缺少,应是什么管理部门）颁发的检验证书要求补偿And all the expense(such as insurance premium,storage and loading and unloading charges etc.)shall be borne by the sellers.而所有的花费（例如保险费、储存和装卸费用等）应有卖方承担.The certificate so issued shall accepted as the base of a claim.The seller,in accordance with the buyer\'s claim shall be responsible for the immediate elimination of the defects.if the sellers fail to answer the buyer within one month after receipt be reckoned as having accepted by the seller.因此颁发的证明应接受为索赔的基础.卖方根据买方的索赔,应该负责立即消除缺陷.如果卖方未能在收据被认为已由卖方认可收到后一个月内答复买方,
Article 3.Arbitration
第三款 仲裁
All claims which can not be amicably settled
between seller and buyer shall be settled by arbitration which is agreed by both parties in accordance with its rules of arbitration ,whose award shall be final and binding upon seller and buyer.
所有在卖方和买方之间不能友好解决的索赔应该由缔约双方同意的仲裁,根据仲裁的规则来解决,其裁决书对卖方和买方都是最后裁决并具有约束力.
Article 4.Entire Agreement
第四款 完整契约条款
This Contract constitutes the entire agreement between the parties,may not be modified except by a writing signed by a duly authorized representatives of both parties.
本合同构成缔约双方之间的完整契约条款,除非有缔约双方适当的授权代表签署的书面文件,否则不能加以修改
卖方和买方将统称“缔约双方”,或可能情况下分开称为“缔约方”.下面的所有交易应在买方和买方之间在主要基础上（这里principal有没有打错,是不是principle,如是,那就是原则基础上）以及双方同意以下条款和条件情况下进行处理.
